Inspect.sec = All {_Services} and/or any deliverables shall be subject to inspection and test by {_Company} and any of its customers at all times and places. {_Supplier} must follow coding and testing standards and must pass quality assurance standards provided by {_Company}.
Rep.sec = {_Supplier} shall provide and maintain an inspection and process control system acceptable to {_Company} covering any {_Services} and/or deliverables provided hereunder. Records of all inspection work by {_Supplier} shall be kept complete and made available to {_Company} and any of its customers during the Term and for a period of three (3) years thereafter. Without any additional charge, {_Supplier} will:
  1. allow representatives of {_Company} and its customers access to the facilities involved in performing {_this_Agreement} in order to assess:
    1. work quality;
    2. conformance with {_Company}’s specifications; and
    3. conformance with {_Supplier}’s representations, warranties, certifications and covenants in {_this_Agreement}, and
    2. provide all reasonable assistance for the safety and convenience of the inspectors in the performance of their duties.
Omit.sec = Acceptance or rejection of the {_Services} and/or any deliverables shall be made as promptly as practical after delivery, but failure to inspect and accept or reject the {_Services} and/or deliverables or failure to detect defects by inspection, shall neither relieve {_Supplier} from responsibility for all requirements relating to such {_Services} and/or deliverables nor impose liabilities on {_Company} for its failure to identify such defects.
Fail.sec = If any of the {_Services} and/or any deliverables under {_this_Agreement}, are found at any time prior to delivery to be defective, or otherwise not in conformity with the requirements of {_this_Agreement}, including any applicable specifications, {_Company}, in addition to such other rights, remedies and choices as it may have by agreement and/or by law, at its option and sole discretion, and at {_Supplier}’s expense may:
  1. reject and return such deliverables;
  2. require {_Supplier} to re perform/replace the non-conforming {_Services} and/or deliverables with {_Services} and/or deliverables that conform to the requirements of {_this_Agreement}; and/or
  3. take such actions as may be required to cure all defects and/or bring the {_Services} and/or deliverables into conformity with all requirements.
