Base.Ti	=	Engagement
Base.sec	=	{_Company} engages {_Supplier} to perform services such as {Services.Description}, which may include the provision of certain deliverables (collectively, the "{_Services}") and which are further described in {_Company} Purchase Order ("{DefT.PO}") and/or Statement of Work ("{DefT.SOW}") documents executed during the Term of {_this_Agreement} by an authorized representative from each party.

SOW.Ti	=	SOWs
SOW.0.sec	=	Each {_SOW} shall contain:
SOW.1.sec	=	a detailed description of the {_Services} to be performed;
SOW.2.sec	=	the amount, schedule and method of compensation to be paid to {_Supplier} by {_Company}; and
SOW.3.sec	=	the term of the {_SOW}, if different from the term of {_this_Agreement}.
SOW.00.sec	=	Each {_PO} and/or {_SOW} issued pursuant to {_this_Agreement} shall be deemed incorporated into and governed by the terms of {_this_Agreement}, and the {_Supplier}'s provision of {_Services} shall be governed by {_this_Agreement} as supplemented by the terms of the applicable {_PO} and/or {_SOW}. Where the terms of a {_PO} or {_SOW} conflict with the terms of {_this_Agreement}, which existed prior to such {_PO} or {_SOW}, the terms of the pre-existing {_Agreement} shall prevail, except to the extent that the {_PO} or {_SOW} expressly states that the {_this_Agreement} is to be overridden or modified. No {_Company} financial obligation will arise without issuance of a {_PO}.

Change.Ti	=	Changes to a {_PO} or {_SOW}
Change.sec	=	{_Company} may at any time, in writing, make reasonable changes in the work described in a {_PO} or {_SOW}. If any changes cause an increase or decrease in the cost of, or the time required for the performance of, any work under a {_PO} or {_SOW}, an equitable adjustment shall be made in {_Supplier}'s fee or delivery schedule, or both. Any {_Supplier} claim for an adjustment must be asserted within {ClaimForAdjustment.days} of {_Supplier}'s receipt of the change notification, and must be approved in a written amendment ("{DefT.Change_Order}").

Affiliate.Ti	=	Extension to Affiliates
Affiliate.0.sec	=	Any {_Company_Affiliate} may issue a {_PO} or {_SOW} under {_this_Agreement}. In the event that any {_Company_Affiliate} issues any {_PO} or {_SOW} pursuant to {_this_Agreement}, such {_PO} or {_SOW}:
Affiliate.1.sec	=	shall incorporate by reference the terms of {_this_Agreement};
Affiliate.2.sec	=	shall be deemed a separate contract between the parties who sign it; and
Affiliate.3.sec	=	is an independent contractual obligation from any other {_PO} or {_SOW}.
Affiliate.00.sec	=	The term "{_Company}" as used in {_this_Agreement} shall, for the purposes of any {_PO} or {_SOW}, issued by a {_Company_Affiliate} hereunder, be deemed to include only the {_Company_Affiliate} issuing such {_PO} or {_SOW}. The parties expressly agree that {_Company} shall have no liability nor shall {_Company} incur any obligation or be responsible for the failure of any {_Company_Affiliate} to perform its obligations under {_this_Agreement} or any {_PO} or {_SOW} placed hereunder.
