ASO-RSO Agreement

Quade & Quinn,

a Massachusetts law firm, (ELF Code: {ELF.Code}) registered at Cambridge, Massachusetts, United States of America with the identity number 102938475,
whose principal place of business is 75 State Street, Boston, MA 02109, United States of America,
represented by Mr. Quentin Quade, its Partner,
herein referred to as "Authorization Server Owner (ASO) ",

State Street Corporation,

a federally chartered bank, registered at Wilmington, Delaware, United States of America with the identity number 1357908642,
whose principal place of business is One Financial Center, Boston, MA 02111, United States of America,
represented by Mr. Samuel Hardy, its Vice President,
herein referred to as "Resource Server Owner (RSO)",

Terms

Each party agrees to comply with the duties of its role specified in {Kantara Initiative Model UMA Legal Document} (the "Charter"), which is incorporated in this Agreement by reference.
Each party agrees that the Data Subject (DS) and each person in the chain of custody of data relating to the DS may rely on the engagements of the party in this Agreement.
The party receiving information under this Agreement ("Receiving Party") agrees to:
1. make a detailed record of its interactions regarding information relating to the DS;
2. protect such records against disclosure, loss or alteration;
3. promptly make reports regarding such records to the providing party; and
4. destroy records;
all in accordance with the Charter.
